Screen Display Space Rental Agreement (Warps)
Draft — pending legal review · Version 2026-10-03 · Last updated 3 October 2026
This English version is provided for convenience. If it differs from the Thai version, the Thai version prevails.
This agreement is between MoonUp System ([legal entity name]) (the "Lessee") and the venue using the MoonUp service (the "Lessor"). The venue accepts this agreement in the back office (Shop settings › Warps) through the owner or a manager. The system records the name of the person who accepted, the time and the IP address.
1. What is rented
- The venue rents display space and screen time on the venue's screens to MoonUp, to show warps that customers buy from MoonUp
- The warp service belongs to MoonUp — customers pay MoonUp, and receipts and refunds are issued in MoonUp's name. MoonUp sets warp prices; the venue can turn individual price tiers on or off
2. Rent
- Rent = 60% of the warp sales shown on that venue's screens (counting warps that were paid and actually shown on screen, excluding refunded items)
- Calculated and paid weekly through the statement in the back office ("Billing" menu), offset against any service fees the venue owes MoonUp, with the remainder transferred to the venue's PromptPay
- [Withholding tax and VAT — pending accountant confirmation]
3. Venue obligations
- Keep the screens ready to display during opening hours
- Review photos before they go on screen on MoonUp's behalf, following MoonUp's content policy, and remove content that breaks the policy immediately
- Do not put warps that MoonUp has suspended or removed back on screen, and do not charge customers for warps directly
4. MoonUp obligations
- Act as the service provider responsible for warp content under the Computer Crime Act, with channels for takedown requests and complaint review
- Handle refunds and customer complaints about warps
5. Term and termination
- Effective from the venue's acceptance until either party turns off the warp service. The venue can stop accepting warps at any time in the back office, with no penalty
- When MoonUp changes the agreement, a new version is issued and the venue must accept it before receiving more warps. Rent still owed under the previous version is paid on the normal cycle
